Explanation of Responses:

1. The Restricted Stock Units will vest over two years with one-half of the total number of shares vesting on the first anniversary of the award date and the remaining shares vesting prorated quarterly.

2. The total shares reported reflect 1:30 reverse stock split on May 17, 2022 and include 1,056 shares purchased under the Company's Employee Stock Purchase Plan on June 30, 2022, which is exempt under Rule 16b-3(c).
