(1) This registration statement (this “Registration Statement”) is being filed with the Securities and Exchange Commission (the “Commission”) by SciPlay Corporation (the “Registrant”) to register 3,000,000 additional shares of Class A Common Stock which may be issued under the Amended and Restated SciPlay Corporation Long-Term Incentive Plan (as the same may be further amended from time to time, the “Long-Term Incentive Plan”).
(2) Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Class A Common Stock that may become issuable under the Long-Term Incentive Plan pursuant to this Registration Statement by reason of any stock dividend, stock split, recapitalization or any other similar transaction effected without receipt of consideration which results in an increase in the number of the registrant’s outstanding shares of Class A Common Stock.
