Explanation of Responses:

1. Pursuant ot a new issuance of common stock by TGC BDC II, Inc., the Reporting Person and the Joint Filer were collectively issued with 1,744,673 shares in the Issuer. The Reporting Person and the Joint Filer subscribed for this common stock pursuant to a subscritption agreement with the Issuer.

2. The Reporting Person is the parent entity of the Joint Filer. The Reporting Person will not direct the Joint Filer's voting of stock of the Issuer, and nor will the Joint Filer direct the Reporting Person's voting of such stock. Additionally, each of the Reporting Persons and the Joint Filer will control its own disposition of such stock.
