The reporting person undertakes to provide to Penn National Gaming, Inc., any security holder of Penn National Gaming, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (1) to this Form 4.

2. The stock appreciation rights vest in four installments on October 15, 2019, October 15, 2020, October 15, 2021 and October 15, 2022.

3. The stock options vest in four installments on January 3, 2020, January 3, 2021, January 3, 2022 and January 3, 2023.
