Represents shares of the Issuer's common stock issued to the Reporting Person pursuant to a Debt Exchange Agreement dated October 25, 2024 by and between the Issuer and the Reporting Person in exchange for $1,275,000 owed to the Reporting Person by the Issuer. The number of shares issued to the Reporting Person is based on a price per share equal to $0.91062.
