As previously disclosed in the Report of Foreign Private Issuer on Form 6-K filed on July 1, 2021 by Atotech Limited, a Bailiwick of Jersey company (the “Company”), on July 1, 2021 the Company entered into a definitive agreement with MKS Instruments, Inc., a Massachusetts corporation (“MKS”), providing for, subject to the terms and conditions of such definitive agreement, the acquisition of the Company by MKS (the “Acquisition”). MKS today issued a press release announcing the closing of the Acquisition. A copy of the press release is furnished as Exhibit 99.1 hereto.
Ordinary shares of the Company will be de-listed from The New York Stock Exchange in connection with the closing of the Acquisition, and the last day of trading in such shares was August 16, 2022.
