EXPLANATORY NOTE
This Current Report on Form 8-K/A Amendment Number One (“Amended Form 8-K”) is filed by CoJax Oil and Gas Corporation, a Virginia corporation, (“Company”) for the sole purpose of correcting an inadvertent error on the cover page of the Current Report on Form 8-K filed by the Company with the Commission on June 22, 2020 (Event Report Date of 16 June 2020) (“Original Form 8-K”). The error was that the box for “Pre-commencement communications pursuant to Rule 13e-4(c) under the Exchange Act (17 CFR 240.13e-4(c))” on the
cover page of the Original Form 8-K was accidentally checked in the EDGAR preparation of the filing of the Original Form 8-K. The transactions reported in the Original Form 8-K do not involve a transaction subject to Rule 13e-4(c) of the Securities Exchange Act of 1934. There is no other amendment to the Original Form 8-K or its exhibits made by this Amended Form 8-K.
