Explanation of Responses:

1. Each restricted stock unit (RSU") represents a contingent right to receive one share of common stock, par value $0.0001 per share, of the Company.

2. These RSUs vest in three successive installments with 20% vesting on September 13, 2023, 40% vesting on January 10, 2024, and 40% vesting on February 21, 2024, provided that the reporting person is employed by the Company on the applicable vesting dates. All RSUs granted to the reporting person shall vest in full immediately upon a change in control.
