1. These shares of restricted stock vest in four equal annual installments, commencing on the one-year anniversary of the grant date, subject to the reporting person's continued service to the Issuer through the applicable vesting dates.

2. Includes: 5,469 shares of unvested restricted stock which vests over four equal annual installments, with two remaining, which began on July 1, 2023 and 14,411 shares of unvested restricted stock which vests over four equal annual installments, with three remaining, which began on July 1, 2024. All unvested restricted stock is subject to the reporting person's continued service to the Issuer throughout the applicable vesting dates.
