Based on the quotient obtained by dividing (a) the aggregate number of Class B Common Shares beneficially owned by UOL as set forth in Row 9 by (b) the sum of 162,168,013 Class A Common Shares outstanding as of December 31, 2018, as reported by the Issuer to UOL, and (ii) 165,620,861 Class B Common Shares beneficially owned by UOL. The aggregate number of Class B Common Shares beneficially owned by UOL set forth in clause “(b)” of this footnote are treated as converted into Class A Common Shares only for the purpose of computing the percentage ownership of UOL.

Folhapar S.A. holds a 64.46% ownership interest in UOL, which holds 165,620,861 Class B Common Shares. Luiz Frias holds a 66.27% direct ownership interest and a 8.76% indirect ownership interest in Folhapar S.A. Luiz Frias also holds a 2.04% direct ownership interest in UOL. On the basis of these relationships, Folhapar S.A. and Luiz Frias may be deemed to share beneficial ownership of the Class B Common Shares held by UOL.
