Stockholder Communication
Attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein is a letter dated February 24, 2021 that is being sent by GigCapital2, Inc., a Delaware corporation (“GigCapital2”) relating to the special meeting of the stockholders of GigCapital2 to be held at 8:00 a.m., Pacific Time, on Monday, March 8, 2021 (the “Stockholders Meeting”). The letter encourages the stockholders of GigCapital2 to vote in favor of the proposal to extend the date by which GigCapital2 has to consummate a business combination from March 10, 2021 to June 10, 2021 in order to allow GigCapital2 more time to complete its previously announced business combinations with UpHealth Holdings, Inc. (“UpHealth”) and Cloudbreak Health, LLC (“Cloudbreak”).
On February 24, 2021, GigCapital2 issued a press release relating to the Stockholders Meeting . The press release encourages the stockholders of GigCapital2 to vote in favor of the proposal to extend the date by which GigCapital2 has to consummate a business combination from March 10, 2021 to June 10, 2021 in order to allow GigCapital2 more time to complete its previously announced business combinations with UpHealth and Cloudbreak. A copy of the press release is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
Additional Information about the Stockholders Meeting and the Business Combinations
In connection with the Stockholders Meeting, on February 12, 2021 GigCapital2 filed a definitive proxy statement on Schedule 14A (the “Extension Proxy Statement”) with the United Stated Securities and Exchange Commission (the “SEC”), which was mailed to its stockholders of record as of February 3, 2021. This Current Report on Form 8-K, including the attached exhibits, does not contain all the information that should be considered concerning the proposal to extend the date by which GigCapital2 has to consummate a business combination from March 10, 2021 to June 10, 2021 (the “Proposal”). Additional information about the Proposal is contained in the Extension Proxy Statement for the Stockholders Meeting. GigCapital2’s stockholders and other interested persons are advised to read the Extension Proxy Statement and other documents filed in connection with GigCapital2’s solicitation of proxies for its special meeting of stockholders to be held to approve the Proposal because these materials contain important information about the Stockholders Meeting and the Proposal.
In connection with the proposed business combinations with UpHealth and Cloudbreak, GigCapital2 has filed a registration statement on Form S-4 with the SEC containing a preliminary proxy statement and a preliminary prospectus of GigCapital2, and after the registration statement is declared effective, GigCapital2 will mail a definitive proxy statement/prospectus relating to the proposed business combinations to its stockholders. This Current Report on Form 8-K, including the attached exhibits, does not contain all the information that should be considered concerning the proposed business combinations and is not intended to form the basis of any investment decision or any other decision in respect of the business combinations.
