1. The transaction reflected in this Form 4 was effected pursuant to a 10b5-1 plan adopted by the reporting person on September 5, 2019. The plan provides for a maximum number of options of 1,050 to be sold.

2. Represents an option to purchase 12,600 shares of the Company's common stock, which vested in equal installments on each of the first four anniversary dates of the grant following the grant date of February16, 2010.
