Explanation of Responses:

1. The Reporting Person holds 200,000 shares of Class B Common Stock of the Issuer ("Class B Shares"). The Class B Shares will automatically convert into shares of Class A Common Stock of the Issuer ("Class A Shares") on a one-for-one basis (subject to certain adjustments for stock splits, stock dividends, reorganizations, recapitalizations and similar transactions) concurrently with or immediately following the consummation of the Issuer's initial business combination, as described in the section entitled "Description of Securities" in the Issuer's Registration Statement on Form S-1 (File No. 333-249808) filed with the Securities and Exchange Commission on November 16, 2020. The Class B Shares have no expiration date.

2. The Class B Shares held by the Reporting Person will vest as follows: 25% of the Class B Shares will vest on November 16, 2021 (the first anniversary of the transfer date), and the remaining 75% will thereafter vest in thirty-six (36) equal monthly installments, subject generally to continued employment with the Issuer through each such date.
