1. These shares of common stock were acquired upon the settlement of a performance-based restricted stock unit award previously granted to the reporting person.

2. These shares of common stock were sold on behalf of the reporting person to cover tax withholding obligations in connection with the vesting of the performance award described herein.

3. These securities are held in a limited liability company of which the reporting person is the manager.

These securities are held by a trust for the benefit of the reporting person's family of which the reporting person is the special purpose trustee and has sole investment power over the securities. These securities were previously reported with the securities held by the limited liability company described in Footnote (3).
