| 1. These shares are underlying units (each unit consisting of one ordinary share, one right entitling the holder to receive one tenth (1/10) of one ordinary share and one warrant entitling the holder to purchase one-half (1/2) of one ordinary share) acquired by Swipy Ltd (the "Sponsor") pursuant to a unit subscription agreement dated July 24, 2019 by and between the Sponsor and the Issuer. The Reporting Person is a member and director of the Sponsor, and shares the voting and dispositive power of the securities held by the Sponsor. Accordingly, the Reporting Person may be deemed to have or share beneficial ownership of such shares. The Reporting Person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he may have therein, directly or indirectly. |
