Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of commons stock of Sunnova Energy International Inc. ("Common Stock").

2. The sale of such shares of Common Stock was authorized by the Company in order to meet tax obligations upon vesting January 31, 2024 and further settlement.

3. The Restricted Stock Units ("RSUs") will vest in three equal installments beginning on January 31, 2024. Common stock of the Issuer ("Common Stock") will be delivered to the reporting person no later than 15 days after the RSUs vest.
