Explanation of Responses:

1. On the date hereof, Mr. McGovern owns 2,364.346 Common Units of limited liability company interests (the "Common Units") of Goldman Sachs Private Middle Market Credit II LLC (the "Company"). In addition, on September 10, 2021, the Company issued a capital call notice to its holders of Common Units. Pursuant to such capital call notice, Mr. McGovern is obligated to make a capital contribution of $40,000 on September 17, 2021 out of his $400,000 aggregate capital commitment to the Company, and the Company is obligated to issue shares of Common Units to Mr. McGovern, provided such capital contribution is funded timely. As of the date of this filing, the number of additional shares of Common Units that will be issued to Mr. McGovern in respect of his $40,000 capital contribution is unknown. Mr. McGovern will amend this Form 4 once the number of shares of Common Units has been determined.
