Explanation of Responses:

1. Represents shares withheld by the Issuer to pay taxes due following the vesting of previously granted restricted stock units.

2. The original Form 4, filed on February 21, 2024, is being amended by this Form 4/A to correct an administrative error that resulted in an incorrect calculation of the number of shares to be withheld for taxes, originally calculated as 915 instead of the correct amount of 869. The corrected amount is reflected in this Form 4/A.
