1. Sale price reflects the weighted average price of multiple trades executed at prices ranging from $1.97 to $2.03. The reporting person undertakes to provide upon request to the SEC staff full information regarding the number of shares and prices at which the transaction was effected. Such shares were sold pursuant to a 10b-5 Plan which was adopted by Dr. Quarles on June 15, 2023.

2. Options were issued in exchange for services rendered as an officer and director of the company.

3. Restricted Stock Units are subject to vesting, and none of them were vested.
