Explanation of Responses:

1. Represents shares withheld by the Issuer to satisfy tax withholding obligations in connection with the settlement of restricted stock units ("RSUs") and does not represent a sale by the Reporting Person.

2. The shares reported in this transaction represent RSUs issued under the Phreesia, Inc. 2019 Stock Option and Incentive Plan. Each RSU represents the contingent right to receive one share of the Issuer's common stock. The RSUs shall vest in four substantially equal annual installments beginning on January 15, 2024.

3. These shares are held by a family trust of which the Reporting Person's sister-in-law is the investment advisor and distribution advisor. Members of the Reporting Person's immediate family are the sole beneficiaries of such trust.
