Explanation of Responses:

1. The shares of Common Stock are to be acquired upon the vesting of certain Restricted Stock Units granted to the Reporting Person. The Restricted Stock Units shall vest as follows: 50% of the total number of Restricted Stock Units will vest on January 31, 2021 and the remaining shares will vest in equal amounts on each of March 20, 2021, March 20, 2022, March 20, 2023 and March 20, 2024, subject to Reporting Person's Continuous Service as of each such date.

2. Includes 2,500 shares acquired pursuant to the issuer's employee stock purchase plan on November 30, 2019.

3. The Option shares shall vest as follows: 1/48th of the option shares shall vest on April 1, 2020 and 1/48th shall vest monthly thereafter, subject to Reporting Person's Continuous Service as of each such date.
