Explanation of Responses:

1. The Reporting Person received 300,000 immediately vested restricted share units ("RSUs") in exchange for the surrender of 300,000 options as provided for in the Reporting Person's employment agreement dated April 22, 2020, of which 122,670 shares were withheld to satisfy the Reporting Person's tax withholding obligations in connection with the settlement of the RSUs.

2. The reported securities are held by the Reporting Person's spouse. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his proportionate pecuniary interest therein.
