Explanation of Responses:

1. Received in exchange for 3,876 shares of the common stock of Pacific Mercantile Bancorp ("PMB") in connection with the merger of PMB's into Banc of California, Inc. ("BOC"). On the effective date of the merger, the closing price of PMB's common stock was $9.40 per share, and the closing price of BOC's common stock was $18.74 per share.
