Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard
On January 23, 2024, Danimer Scientific, Inc. (the “Company”) was notified by NYSE Regulation (“NYSER”) that the Company is not in compliance with the New York Stock Exchange’s (“NYSE”) continued listing criteria under Section 802.01C of the NYSE Listed Company Manual because the average closing price of the Company’s common stock was less than $1.00 over a consecutive 30 trading-day period as of January 22, 2024.
The Company has notified the NYSE of its intent to cure the deficiency and return to compliance with the NYSE continued listing requirements. The Company will return to compliance if, during the six-month period following receipt of the NYSE notice, on the last trading-day of any calendar month, the Company’s common stock has a closing share price of at least $1.00 and an average closing share price of at least $1.00 over the 30 trading-day period ending on the last trading day of that month.
Under NYSE rules, the Company’s common stock will continue to be traded on the NYSE during this period, subject to the Company’s compliance with other applicable continued listing requirements.
The NYSER notification does not affect the Company’s business operations, Securities and Exchange Commission reporting requirements or debt obligations.
