Explanation of Responses:

1. Represents shares withheld to cover tax withholding obligations upon the vesting of restricted stock units for an award granted to the Reporting Person on October 22, 2019 under the Issuer's 2019 Long-Term Incentive Plan. The restricted stock units represent the right to receive one share of common stock per unit granted and vest in three equal installments on June 18, 2020, June 18, 2021 and June 18, 2022.

2. Represents the closing price per share of the Issuer's common stock as of June 17, 2020, which was the trading day immediately preceding the vesting date.

3. Represents shares withheld to cover tax withholding obligations upon the vesting of restricted stock units for an award granted to the Reporting Person on June 18, 2019 under the Issuer's 2019 Long-Term Incentive Plan. The restricted stock units represent the right to receive one share of common stock per unit granted and vest in three equal installments on June 18, 2020, June 18, 2021 and June 18, 2022.
