Pursuant to a purchase agreement, dated as of August 19, 2022, among the Reporting Person and six stockholders of the Issuer (the "Selling Stockholders"), Reporting Person purchased from the Selling Stockholders an aggregate of 3,750,045 shares of the Issuer's Common Stock, at $0.032 per share, for an aggregate purchase price of $120,001.40.
