Explanation of Responses:

1. As previously reported on 8/6/2019 by the reporting person, these restricted stock units with service-based vesting conditions ("Board RSUs") were originally granted under the Legacy Amplify 2017 Non-Employee Directors Compensation Plan and vest periodically so long as the reporting person remains a member of the board of directors of Amplify Energy Corp. on each applicable vesting date. Amount reported represents the amount of such Board RSUs held by the reporting person that have vested to date. The Board RSUs convert into common stock on a one-for-one basis.
