Item 1.01. Entry into a Material Definitive Agreement.
On May 20, 2022, Morgan Stanley Direct Lending Fund (the “Company”), a Delaware corporation, entered into an amendment (the “Second Amendment”) to that certain Senior Secured Revolving Credit Agreement, dated as of July 16, 2021 (as amended by the First Amendment dated December 3, 2021, the “Facility”), by and among the Company, as Borrower, the lenders and issuing banks from time to time parties thereto, Truist Bank, as Administrative Agent, Truist Securities, Inc., as Joint Lead Arranger and Sole Book Runner, and ING Capital LLC, MUFG Union Bank, N.A., and Sumitomo Mitsui Banking Corporation, as additional Joint Lead Arrangers.
The Second Amendment amended certain terms of the Facility, including, but not limited to (a) amendments to the negative covenants to permit the Company and certain of its subsidiaries to incur up to $500,000,000 of unsecured indebtedness that matures inside the maturity of the Facility, subject to certain conditions, and (b) amendments to the definition of Covered Debt Amount to include 50% of all such unsecured indebtedness. The other material terms of the Facility remain unchanged.
