Explanation of Responses:

1. Reflects a transfer of 3,424 shares of Class A Common Stock that was exempt from reporting. The Reporting Person no longer reports beneficial ownership of such securities.

2. Represents shares automatically sold to cover taxes and fees in connection with the settlement of certain restricted stock unit awards in accordance with the terms of such awards.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $30.57 to $30.59. The Reporting Person undertakes to provide the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
