Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Director Resignation
On May 12, 2022, Scott Sandell notified Robinhood Markets, Inc. (the “Company”) of his resignation as a member of the Company’s Board of Directors (the “Board”), effective that same day. Mr. Sandell’s resignation was not the result of any disagreement between Mr. Sandell and the Company on any matter relating to the Company’s operations, policies, or practices.
Effective as of Mr. Sandell’s resignation, the Board appointed Frances Frei as chair of the People and Compensation Committee and reduced the size of the Board from nine to eight directors.
