Explanation of Responses:

1. Constitutes restricted stock units ("RSUs") for which the Reporting Person is entitled to receive one (1) share of issuer's Common Stock for each RSU upon vesting. 1/3rd of the RSUs will vest on April 24, 2024 (the "Anniversary Date"), and 1/12th of the RSUs will vest in equal quarterly installments thereafter following the Anniversary Date, such that all RSUs will have vested on the third anniversary of the grant date, subject to the Reporting Person's continued service to the issuer.
