Explanation of Responses:

1. Award of restricted stock units ("RSUs") that will vest over three years, with 33% of the RSUs vesting on March 15, 2025, and the remaining RSUs vesting thereafter in 8 substantially equal quarterly installments on the 15th of each of February, May, August and November of each year, subject to the Reporting Person's continued employment with the Issuer on each applicable vesting date.
