Explanation of Responses:

1. The Reporting Person earned these shares of restricted stock pursuant to a performance share award granted January 1, 2021 under the Issuer's Equity Incentive Plan, based on the achievement of the performance-based vesting criteria for the two-year performance period ended December 31, 2022. 25% of the shares vested on March 2, 2023, and 25% will vest on December 31st of each of 2023, 2024, and 2025, subject to the Reporting Person's continued employment.
