Explanation of Responses:

1. The price reported in Column 4 of Table 1 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $71.538 to $72.02, inclusive. The Reporting Person undertakes to provide to Merit Medical Systems, Inc., any security holder of Merit Medical Systems, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this Form 4.

2. The total reported in Column 5 of Table I includes 4,188 fully-vested restricted stock units and 2,914 restricted stock units that vest on June 17, 2022. Vesting of restricted stock units is subject to continued service to the issuer through the vesting date.

3. Becomes exercisable in equal annual installments of 33% commencing 08/28/2020.
