EXPLANATORY NOTE
On May 17, 2023, Mr. Chris Chang Yu resigned as the Co-Chief Executive Officer of the Fresh2 Group Limited (the “Company”), effective immediately. Mr. Yu's resignation did not result from any disagreement with the Company or its management.
