EXPLANATORY NOTE

On August 25, 2023, Mr. Edwards Jinqiu Tang resigned as the Co-Chief Financial Officer of the Fresh2 Group Limited (the “Company”), effective immediately. Mr. Tang’s resignation did not result from any disagreement with the Company or its management.
