Item 1.01 – Entry into a Material Definitive Agreement.
On May 6, 2022, Star Mountain Lower Middle-Market Capital Corp. (
the “Company”) entered into an amendment (the “Amendment”) to the Loan and Servicing Agreement dated as of July 2, 2021 (as amended or otherwise modified, the “Facility”). Forbright Bank and First Foundation Bank (the “New Lenders”) joined the Facility with commitments of $17.5 million and $15.0 million, respectively.
In conjunction with the New Lenders being admitted into the Facility, Webster Bank, N.A (f/k/a Sterling National Bank) increased its commitment by $12.5 million to $62.5 million. The Amendment increased the aggregate commitments under the Facility from $80.0 million to $125.0 million. The foregoing descriptions are only a summary of the material provisions of the Amendment and are qualified in their entirety by reference to a copy of the Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein.
