1. Each share of Series B Preferred Stock is convertible into 0.1858 shares of the Issuer's Class A Common Stock at any time at the holder's election. Upon the closing of the Issuer's initial public offering, all such shares of Series B Preferred Stock will automatically convert into the number of shares of Class A Common Stock of the Issuer shown in column 3. The Series B Preferred Stock has no expiration date.
