Item 8.01 Other Events.
On September 18, 2023, Brilliant Acquisition Corporation (the “Company” or “Brilliant”) received notice from the Nasdaq Office of General Counsel that the Nasdaq Hearings Panel (the “Panel”) has granted the Company’s request for continued listing on The Nasdaq Capital Market (“Nasdaq”) until December 23, 2023.
As previously disclosed, on June 27, 2023, the Company received a notice from the staff of the Listing Qualifications Department of Nasdaq indicating that, unless the Company timely requested a hearing before the Panel, the Company’s securities (units, ordinary shares, warrants, and rights) would be subject to suspension and delisting from The Nasdaq Capital Market at the opening of business on July 7, 2023 due to the Company’s non-compliance with Nasdaq IM-5101-2, which requires that a special purpose acquisition company complete one or more business combinations within 36 months of the effectiveness of its initial public offering registration statement. Additionally, on June 30, 2023, the Company received a notice from the staff of the Listing Qualifications Department of Nasdaq indicating that the Company’s failure to maintain a minimum Market Value of Listed Securities (MVLS) of $35 million served as an additional basis for delisting of the Company’s securities unless the Company timely requested a hearing before the Panel. The Company timely requested a hearing before the Panel and the hearing was held on August 31, 2023.
The Panel granted the Company’s request for continued listing on Nasdaq, subject to the following: (i) on or before November 27, 2023, the Company must advise the Panel on the status of the vote by shareholders of both the Company and Nukkleus, Inc. (“Nukkleus”) regarding their planned business combination; and (ii) the Company’s completion of the business combination transaction on or before December 23, 2023.

This Current Report relates to a proposed business combination among Nukkleus, Brilliant and Merger Sub in which Merger Sub would merge into Nukkleus. In connection with the proposed transaction, Brilliant has filed with the SEC a registration statement on Form S-4 that includes a proxy statement of Brilliant and Nukkleus and that also constitutes a prospectus of Brilliant with respect to the shares to be issued in the proposed transaction (the “proxy statement/prospectus”).
