Explanation of Responses:

1. The option, representing a right to purchase a total of 47,965 shares, becomes exercisable as to 15,988 shares on May 17, 2020, with the remainder to vest in two equal annual installments thereafter, subject to continued service through each vesting date.

2. The exercise price of the option of CAD$7.84 is converted to USD based on the daily average exchange rate as reported by the H.10 statistical release of the Board of Governors of the Federal Reserve System on September 27, 2019 of C$1.3250 = US$1.00.
