1. This acquisition of 57,693 shares is made pursuant to a Subscription Agreement between Mr. Kothari and the Issuer, pursuant to which the Issuer issued 57,693 shares of common stock to Mr. Kothari in exchange for consideration of $165,002.00, representing accrued and unpaid cash compensation to which he was entitled pursuant to his employment agreement with the Issuer.
