Explanation of Responses:

1. Reflects the 50 for 1 reverse split that became effective on April 15, 2019.

2. In consideration for Mr. Posawatz acceptance to serve as a director of the Company on February 18, 2016, Envision Solar International, Inc. (the "Company") granted Mr. Posawatz a restricted stock award of 20,000 shares of its common stock, vesting 556 per month over a 36 month period commencing on March 31, 2016. During the year ended December 31, 2016, the Company and Mr. Posawatz agreed to terminate 13,889 shares of restricted common stock that remained unvested.
