Explanation of Responses:

1. On December 31, 2020, Lawrence Diamond received 164,047 shares of the Company's common stock for interest in the amount of $5000.00 which he was owed from his ownership 2,000 shares of the Series X Preferred Shares.

2. The amount reflected as beneficially held by Issuer's Chief Executive Officer and Larry Diamond consists of (i) 3,635,371 shares of the Common Stock, (ii) options to purchase 2,500,000shares of the Common Stock, and (iii) 2,000 shares of the Issuer's Series X Preferred Stock which entitle him to 20,000 votes per share or an aggregate of 40,000,000 votes. As a result, Mr. Diamond holds 46,135,371 votes representing 21.53% of the votes on all matters submitted to a vote of the Issuer's common stockholders.
