ITEM 2.02 Results of Operations and Financial Condition.

On February 19, 2020 Ovintiv Inc. (the “Corporation”) issued a news release announcing its financial and operating results for its fourth quarter and full year ended December 31, 2019. A copy of the news release is attached as Exhibit 99.1 to this Current Report on Form8-K.

Quarterly Dividend

In its February 19, 2020 news release the Corporation also announced that its Board of Directors had declared a quarterly dividend of $0.09375 per share on the Corporation’s outstanding common stock. The dividend is payable on March 31, 2020 to holders of record at the close of business on March 13, 2020. A copy of the news release is attached as Exhibit 99.1 to this Current Report on Form8-K.

2020 Full-Year Proforma Outlook

In its February 19, 2020 new release, the Corporation announced its 2020 full-year proforma outlook. A copy of the news release is attached as Exhibit 99.1 to this Current Report on Form8-K.
