Explanation of Responses:

1. Represents restricted stock units ("RSUs") issued to the Reporting Person as consideration for service on the Issuer's Board of Directors from November 30, 2023, the completion of the merger of the Issuer with PacWest Bancorp, until the Issuer's 2024 Annual Stockholder Meeting. Shares will be issued in full upon vesting, which is scheduled to occur May 9, 2024.

2. Amount includes 97 shares that were acquired pursuant to the Issuer's dividend reinvestment plan.
