Explanatory Note
This Form 8-K/A amends the Current Report on Form 8-K dated December 19, 2019, which was filed on December 19, 2019 and assigned SEC Accession No. 0001539497-19-002325 (the “Subject 8-K”). The purpose of this amendment is to make clerical and minor revisions to the agreements previously filed as Exhibit 4.4 and Exhibit 4.6 to the Subject 8-K. No other changes are being made to the Subject 8-K.
Accordingly:
(1) Exhibit 4.4 of the Subject 8-K, which contained the pooling and servicing agreement, dated and effective as of November 1, 2019, between Morgan Stanley Capital I Inc., as depositor, Wells Fargo Bank, National Association, as master servicer, LNR Partners, LLC, as general special servicer, Situs Holdings, LLC, as ILPT Industrial Portfolio special servicer, Wells Fargo Bank, National Association, as certificate administrator, Wilmington Trust, National Association, as trustee, and Park Bridge Lender Services LLC, as operating advisor and asset representations reviewer (the “MSC 2019-L3 PSA”), is hereby amended and restated in its entirety by the corrected version of the MSC 2019-L3 PSA attached hereto asExhibit 4.4; and
(2) Exhibit 4.6 of the Subject 8-K, which contained the pooling and servicing agreement, dated as of December 1, 2019, among Citigroup Commercial Mortgage Securities Inc., as depositor, Wells Fargo Bank, National Association, as master servicer, LNR Partners, LLC, as special servicer, Pentalpha Surveillance LLC, as operating advisor and as asset representations reviewer, Citibank, N.A., as certificate administrator, and Wilmington Trust, National Association, as trustee (the “CGCMT 2019-C7 PSA”), is hereby amended and restated in its entirety by the corrected version of the CGCMT 2019-C7 PSA attached hereto asExhibit 4.6.
