Item 4.01 Change in Registrant’s Certifying Accountant.
On April 17th, 2023, the sole director of DongFang City Holding Group Company Limited, a Delaware corporation (the “Company”), approved the engagement of KG CPA LLP as the Company’s independent registered public accounting firm for the Company’s fiscal year ended October 31, 2021 and 2022, and dismissed YCM CPA Inc. (“YCM”) as the Company’s independent registered public accounting firm, effective immediately.
YCM has not audited any annual financial statements of the Company, neither has it reviewed any quarterly interim financial statements. As of the date of this Form 8-K, there were no: (1) disagreements with YCM on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, or (2) reportable events under Item 304(a)(1)(v) of Regulation S-K.
Before filing this Current Report on Form 8-K with the SEC, the Company provided YCM with a copy of the disclosures contained in this Item 4.01(a). A copy of YCM’s letter dated April 13th, 2023, addressed to the SEC, is filed as Exhibit 16.1 to this Current Report on Form 8-K.
