Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive 1 share of the Issuer's Class A-1 Common Stock upon settlement for no consideration.

2. 100% of the RSUs will vest on December 31, 2024, subject to the Reporting Person's continued service to the Issuer on the vesting date.

3. Represents RSUs granted pursuant to the Reporting Person's election to defer receipt of his or her annual cash retainer and chair and/or committee member fees in the form of RSUs. 100% of the RSUs will vest on December 31, 2024, subject to the Reporting Person's continued service to the Issuer on the vesting date.
