Explanation of Responses:

1. The Performance Restricted Stock Units ("PRSUs") convert into the issuer's Class A Common Stock on a one-for-one basis.

2. The 20,000 PRSUs vested on March 31, 2021 upon the achievement of certain performance goals. The remaining PRSUs will vest upon achievement of certain performance goals, subject to certain vesting, forfeiture, and termination provisions.
