Explanation of Responses:

1. Represents 11,789 restricted stock units ("RSUs"), granted to the Reporting Person as follows: (A) On March 1, 2023, the Reporting Person was granted RSUs representing 5,295 shares that will be issued upon vesting and will vest annually, in substantially equal installments, over a three-year period beginning on March 1, 2024; and (B) On December 14, 2021, Reporting Person was granted RSUs representing 6,494 shares that will be issued upon vesting and of which, 2,598 shares will vest on December 14, 2023, and the remaining shares will vest in substantially equal installments, over a three-year period beginning on December 14, 2024.
